These Terms of Service (“Terms”) govern your access to and use of the website mintmystar.com (the “Site”) and the commemorative star naming gift services offered by Mint My Star (“Mint My Star,” “we,” “us,” or “our”). By accessing or using the Site or purchasing through it, you agree to these Terms. If you do not agree, do not use the Site.

Nature of the service (commemorative naming)

Mint My Star provides a symbolic, commemorative star naming experience for personal or gift purposes. Any star name, certificate, or related creative materials are keepsakes and expressions of sentiment — they do not confer scientific, legal, or property rights in celestial objects, and they are not recognized by the International Astronomical Union (IAU) or any governmental or official astronomical body as an official astronomical designation. You understand and agree that the service is for entertainment and commemorative purposes only.

NFT certificates are digital keepsakes

Non-fungible tokens (“NFTs”) and digital certificates issued through the service are collectible digital keepsakes tied to your purchase. They are not securities, investments, investment contracts, or financial instruments, and we make no representation regarding future value, liquidity, or resale. You are solely responsible for any tax or legal consequences of acquiring, holding, or transferring digital assets, and you should consult your own advisors.

Eligibility and wallet responsibility

You represent that you are legally able to enter into these Terms and to use the Site in your jurisdiction. You are responsible for the security of your self-custody wallet, private keys, and any device used to connect to the Site. We are not responsible for loss due to user error, compromised keys, incompatible wallets, network congestion, failed transactions, or third-party wallet or blockchain software.

Payments (USDC on Solana)

Prices and accepted assets are as displayed on the Site at checkout. Payments made in USDC on the Solana blockchain are final and non-reversible once confirmed on-chain, except where required by applicable law. Blockchain transactions are irreversible by design; chargebacks generally do not apply to on-chain transfers. You are responsible for ensuring correct wallet addresses, networks, and token types before sending funds.

Orders, fulfillment, and errors

We strive to describe the service accurately. We may refuse or cancel orders in cases of suspected fraud, abuse, technical error, or legal restriction. If we cannot fulfill an order after payment for reasons within our reasonable control, our sole obligation is to work with you in good faith to correct the issue or provide an appropriate remedy as permitted by law — not including speculative or consequential damages (see “Limitation of liability” below).

Intellectual property

The Site, branding, text, graphics, and other content we provide are owned by Mint My Star or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not copy, scrape, reverse engineer, or exploit the Site or our systems except as expressly permitted by law or with our prior written consent.

You retain rights in content you submit (such as a commemorative name or dedication text), but you grant us a license to use that content to provide the service (including generating certificates, NFT metadata, and on-chain records) and to operate and promote the service as reasonably necessary.

Prohibited conduct

You agree not to use the Site unlawfully, to harass others, to submit unlawful or infringing content, to interfere with the Site’s operation, or to attempt unauthorized access to our systems or users’ accounts.

Disclaimer of warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT DEFECTS WILL BE CORRECTED. BLOCKCHAIN NETWORKS AND THIRD-PARTY SERVICES ARE OUTSIDE OUR CONTROL.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MINT MY STAR OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Mint My Star and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your content, your violation of these Terms, or your violation of any rights of a third party.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree that the state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, subject to any mandatory consumer protections in your jurisdiction that cannot be waived by contract.

Changes

We may modify these Terms at any time by posting an updated version on this page. The “Last updated” date will be revised. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms, except that material changes may require additional notice where required by law.

Severability and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mint My Star regarding the Site and supersede prior understandings on the same subject.
